1. ACCEPTANCE OF TERMS

By accessing or using elunel ("Platform," "Service," "we," "us," or "our"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using this Platform.

3. PLATFORM PURPOSE AND LIMITATIONS

3.1 Platform Function

elunel provides an online marketplace where:

• Families seeking birth support can search for and contact birth professionals
• Birth professionals can create profiles and communicate with potential clients
• Users can exchange messages through our secure messaging system

3.2 No Endorsement or Recommendation

The inclusion of any birth professional on this Platform does NOT constitute:

• An endorsement, recommendation, or referral by elunel
• A guarantee of qualifications, competence, or quality of services
• Verification of licensing, credentials, or professional standing
• A warranty of safety, suitability, or fitness for any particular purpose

4. USER RESPONSIBILITIES AND OBLIGATIONS

4.1 Client Due Diligence (Families)

If you are seeking birth support services, you acknowledge and agree that you are solely responsible for:

• Independently verifying the credentials, licensing, insurance, and qualifications of any birth professional you contact
• Conducting background checks, reference checks, and interviews as you deem necessary
• Evaluating whether any birth professional is suitable for your specific needs and circumstances
• Negotiating all terms, conditions, fees, and scope of services directly with the birth professional
• Ensuring compliance with all applicable provincial and federal laws
• Consulting with licensed medical professionals (such as your physician or midwife) before making healthcare decisions
• Understanding the risks, benefits, and alternatives of any services you choose to receive

4.2 Birth Professional Obligations

If you are a birth professional using this Platform, you represent, warrant, and covenant that:

• You hold all necessary licences, certifications, permits, and registrations required by law in Ontario and/or your jurisdiction to provide your services
• You maintain current and adequate professional liability insurance as required by law or professional standards
• You will provide services in accordance with applicable professional standards of care and all governing legislation
• All information in your profile is accurate, current, and not misleading
• You will maintain the confidentiality and privacy of client information in accordance with applicable laws (including PHIPA, PIPEDA, etc.)
• You are solely responsible for all tax obligations arising from your services
• You will not use this Platform to provide services that are illegal, unethical, or outside your scope of practice

4.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify elunel of any unauthorised use of your account.

6. PRIVACY AND DATA PROTECTION

Your use of the Platform is subject to our Privacy Policy, which is incorporated by reference. We collect and process personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and Ontario's Personal Health Information Protection Act (PHIPA) where applicable.

7. INTELLECTUAL PROPERTY

All content on this Platform, including text, graphics, logos, and software, is the property of elunel or its licensors and is protected by Canadian and international intellectual property laws. You may not reproduce, distribute, or create derivative works without express written permission.

8. TERMINATION

We reserve the right to suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Upon termination, all provisions that by their nature should survive termination shall remain in effect, including limitation of liability and indemnification provisions.

9. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Platform shall be resolved exclusively in the courts of Ontario, and you consent to the personal jurisdiction of such courts.

10. MODIFICATIONS

We reserve the right to modify these Terms at any time. Material changes will be notified through the Platform or via email. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.

11. SEVERABILITY

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
